This offer, priced at Dh6.25 per share, represents a 23% premium over the last closing price. The tender period began on August 18 and will conclude on September 15, 2026, unless extended.

## Current Ownership and Offer Impact

Currently, L'IMAD holds a 75.42% stake in AD Ports. The proposed acquisition aims to secure the remaining shares, offering investors who participated in the initial public offering a 95% cash return at the offer price. The offer price also reflects a 25% premium over the one-month volume-weighted average price and a 31% premium over the three-month average.

## Next Steps for AD Ports

AD Ports has acknowledged receipt of the formal offer document from ADQ. The company's Board of Directors is scheduled to meet on August 21 to evaluate the proposal and discuss further actions.
