## L’IMAD Completes Tender Offer

L’IMAD, a sovereign investment entity owned by the Abu Dhabi government, has successfully concluded its voluntary tender offer for Abu Dhabi Ports Company PJSC (AD Ports Group). The process, which began on August 18, 2026, through L’IMAD's subsidiary Abu Dhabi Developmental Holding Company PJSC (ADQ), closed on September 15, 2026.

## Stake Increase

Following the tender offer, L’IMAD's ownership in AD Ports Group will rise to over 98.5%, up from its previous 75.4% stake. The settlement of this transaction is expected to be finalized by October 9, 2026.

## Strategic Infrastructure Investments

AD Ports Group is part of L’IMAD's Ports & Logistics portfolio, which also includes Etihad Rail and Aramex. These assets are central to L’IMAD's strategy to enhance the UAE's trade and transport infrastructure. Past projects include the development of a major industrial freezone at KEZAD and the establishment of the UAE's first national railroad network through Etihad Rail.

## Regulatory Approvals

All conditions for the tender offer have been satisfied, except for routine notifications to the Capital Market Authority and the Abu Dhabi Securities Exchange. The payment to AD Ports Group shareholders and the registration of shares under ADQ's name are expected to be completed by the October deadline.
