## Legal Framework
In the UAE, non-compete clauses are governed by Federal Decree-Law No. 33 of 2021. These clauses are legally recognized but must adhere to specific criteria to be enforceable. They are designed to protect legitimate business interests, such as trade secrets or client relationships, by restricting former employees from joining competitors or starting similar businesses.
## Conditions for Enforceability
To be valid, a non-compete clause must clearly define its geographic scope, duration, and the nature of work it covers. The geographic area should be specific, such as a particular emirate or city. The duration cannot exceed two years from the end of the employment contract, although shorter periods are acceptable if reasonable. The clause must also relate to work that could potentially harm the employer's business interests.
## When Can a Clause Be Included?
Employers typically include non-compete clauses in contracts for roles that involve access to sensitive information or client networks. This is common in managerial, sales, or strategic positions where the risk of competitive harm is higher.
## Exceptions and Limitations
There are circumstances where a non-compete clause may not be applicable. If an employer unlawfully terminates an employee, such as through arbitrary dismissal, the clause becomes void. It also does not apply if the contract ends during the probation period. Employers have a one-year limit to take legal action from the date they discover a violation. Additionally, the clause can be waived if compensation, capped at three months’ wages, is agreed upon in writing. Certain professions deemed essential by the Ministry may also be exempt from these clauses.
